Terms of Service

These Terms of Service ("Terms") govern your access to and use of the NiqSolve platform, websites, and services (collectively, the "Service") operated by NiqSolve ("we", "us", or "our"). By creating an account or using the Service you agree to these Terms and our Privacy Policy. If you don't agree, don't use the Service.

The Service depends on the WhatsApp Business Platform provided by Meta Platforms, Inc. Your use of WhatsApp through the Service is additionally governed by the WhatsApp Business Solution Terms and Meta's Platform Terms, which you accept directly with Meta as part of WhatsApp's Embedded Signup.

NiqSolve provides software to design, configure, and operate AI agents that send and receive messages over the WhatsApp Business Platform on your behalf. The Service includes the dashboard, APIs, webhook receivers, knowledge-base storage, and integrations with third-party tools.

2.1 Service availability

We make a reasonable effort to keep the Service available 24/7. We may schedule maintenance, change features, or temporarily suspend the Service where required for security or operational reasons. Scale-tier customers are covered by a separate SLA agreement.

2.2 Beta features

Features marked as "beta" or "preview" may change, break, or be removed without notice. They're provided as-is.

You retain ownership of the content you upload — knowledge bases, agent configurations, message templates, etc. You grant us a worldwide, non-exclusive licence to host, process, and transmit that content solely to provide the Service to you.

5. Payments & subscriptions

5.1 Plans and billing

Paid plans renew automatically for the period selected. You authorise us to charge your payment method on each renewal. All fees are in INR unless otherwise stated and exclude applicable taxes (GST).

5.2 Meta charges

Meta separately bills you for WhatsApp Business Platform conversation charges (Marketing, Utility, Service, Authentication). Those amounts are paid directly to Meta through your linked Meta Business Manager and are not included in NiqSolve subscription fees.

5.3 Refunds and cancellation

You can cancel anytime. Cancellation takes effect at the end of the current billing period. We don't offer refunds for partial periods, except where required by law.

5.4 Overages

Message overages beyond your plan quota are billed at the rates listed on our pricing page.

6. Third-party services

The Service integrates with Meta WhatsApp, Supabase, Composio, OpenRouter, Stripe, and other third-party providers. Your use of those services is governed by their respective terms and privacy policies. We're not responsible for the availability, accuracy, or content of those services.

7. Intellectual property

The Service, including all software, design, trademarks, and documentation, is owned by NiqSolve and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service per these Terms.

8. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

9. Termination

You may close your account at any time. We may suspend or terminate your access if you breach these Terms, Meta's policies, or use the Service in a way that creates legal or operational risk for us or our other users. On termination, you may export your data for 30 days, after which we may delete it.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated responses will always be accurate.

11. Limitation of liability

To the maximum extent permitted by law, NiqSolve and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Service. Our total liability for any claim arising out of or relating to these Terms will not exceed the amount you paid us in the 12 months preceding the claim, or INR 5,000, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless NiqSolve from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms or any third-party rights.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by email. Continued use of the Service after a change constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts in India, unless otherwise required by mandatory consumer-protection law in your jurisdiction.
